Terms & Conditions of Sale
Scope
These Terms and Conditions of Sale (hereinafter "Terms") apply to all orders placed with Stop Vine Group Limited (hereinafter "Seller") by any business customer (hereinafter "Buyer") for the purchase of wine stoppers and related accessories sold under the SPARK 964 brand.
These Terms apply exclusively to business-to-business (B2B) relationships and do not apply to consumer transactions. By placing an order, the Buyer unconditionally accepts these Terms.
Products
Description
The Seller markets wine stoppers for sparkling wines and champagne, manufactured from food-grade ABS, certified compliant with CE (food contact materials) and FDA (US Food and Drug Administration) standards, compatible with standard 29 mm bottle necks.
Regulatory Compliance
Products comply with applicable regulations on food-contact materials:
- European Regulation (EC) No 1935/2004 on materials intended to come into contact with food;
- FDA requirements for plastic food-contact materials.
Customisation
Products may be customised (logo engraving or printing) according to the terms defined at the quotation stage.
Orders & Quotations
Quotation Request
All orders are preceded by a quotation request submitted to the Seller by email at contact@stopvine.com or via WhatsApp. Quotations are provided free of charge and remain valid for 30 days from the date of issue.
Minimum Order Quantity (MOQ)
A minimum order quantity applies, as defined in the quotation based on the product and finish selected.
Purchase Order
An order becomes firm and binding upon receipt by the Seller of a signed purchase order from the Buyer, together with full payment of the corresponding amount.
Prices & Payment
Prices
Prices are quoted in euros (€) or US dollars (USD), exclusive of taxes and shipping costs, as set out in the accepted quotation. The Seller reserves the right to modify prices at any time; the prices applicable are those in force at the time the quotation is accepted.
Payment Terms
Payment is due in full and upfront upon order confirmation, prior to any production or shipment. No partial deposit is accepted: the order is only processed upon receipt of full payment.
Accepted payment methods:
- Credit/debit card (via a secure payment link provided by the Seller);
- International bank transfer (SWIFT/IBAN) to the bank details provided on the invoice.
Late Payment
Any late payment automatically gives rise to late payment interest at the applicable legal rate, plus a flat-rate recovery fee as required by applicable regulations.
Delivery
Lead Times
Production and delivery lead times are stated in the quotation on an indicative basis. They depend on order volume, finish selected and destination.
Shipping
Shipping costs are borne by the Buyer unless otherwise agreed. Risk passes to the Buyer upon handover of the goods to the carrier.
Inspection Upon Receipt
The Buyer must inspect the goods upon delivery and raise any reservations with the carrier within 3 days of receipt, confirmed by registered letter.
Retention of Title
Title to the goods passes to the Buyer only upon receipt of full payment, including any ancillary charges. In the event of non-payment, the Seller reserves the right to reclaim delivered goods.
Warranties
Commercial Warranty
The Seller warrants its products against manufacturing defects for 12 months from the date of delivery. This warranty covers replacement or reimbursement of defective products, to the exclusion of any other damages.
Exclusions
The warranty does not cover defects resulting from improper use, negligence, unauthorised modification or normal wear and tear.
Liability
The Seller's liability is limited to the amount of the relevant order. The Seller shall not be liable for indirect damages, loss of business or loss of profit suffered by the Buyer.
Intellectual Property
Trademarks, logos, designs and trade names associated with SPARK 964 products are the exclusive property of Stop Vine Group Limited. Any reproduction or use without prior written authorisation is prohibited.
Data Protection
Personal data collected in the context of the commercial relationship is processed in accordance with our Privacy Policy.
Governing Law & Disputes
These Terms are governed by applicable international trade law. In the event of a dispute, the parties agree to seek an amicable resolution. Failing that, the dispute shall be referred to the competent court of the Buyer's place of business.
